Terms of Service
Effective February 16, 2026
1. Scope
These Terms of Service govern the relationship between Bruno Hanquier, operating under the trade name TrustAkt (the "Provider") and any business client (the "Client") subscribing to the Odoo migration service marketed under the odooMigrator brand.
2. Services
The Provider offers a turnkey Odoo migration service including:
- Automated analysis of the Odoo PostgreSQL dump provided by the Client.
- Execution of the migration pipeline to Odoo v19, validated by 2,317 automated assertions.
- Deployment of the migrated instance on a dedicated VPS.
- A 7-day testing period with full access.
- A detailed migration report.
Additional services (third-party module adaptation, bridge module development, post-migration support) may be offered under a separate quotation.
3. Quotation and Acceptance
Every engagement is preceded by a quotation based on the analysis of the PostgreSQL dump provided by the Client. Quotations are valid for 30 days. The order is deemed accepted upon receipt of the signed quotation or corresponding purchase order.
4. Pricing and Payment
The base price for the migration service is €499.90 excl. VAT (or $599.90 / £599.90 depending on region). This price is subject to the following conditions:
- Single version jump (one major version, e.g. v17 to v18, or v18 to v19). Migrations crossing the v15 → v16 boundary involve deeper structural changes and are quoted separately.
- Database under 2 GB and fewer than 5 users.
- Native Odoo modules only — custom or third-party modules are quoted separately.
The Provider reserves the right to decline the engagement within 24 hours of diagnosis if the database is structurally corrupted.
VAT is applied at the rate in effect on the invoicing date. Invoices are payable upon receipt, by bank transfer or credit card. Access to the migrated instance is conditional upon full payment. Late payments incur interest at the legal rate plus 3 percentage points, as well as a fixed recovery fee of €40 (French Commercial Code, art. L.441-10).
5. Trial Period and Guarantee
The Client is granted a 7-day trial period starting from the delivery of the migrated instance on the dedicated VPS. During this period, the Client has full access to verify data and test workflows.
Zero risk guarantee: if the Client is not satisfied at the end of the trial period, the instance is decommissioned and the Client owes nothing. No hidden fees, no commitment.
If no written notice of refusal is received within 7 days, the migration is deemed accepted and the invoice becomes payable.
6. Client Obligations
The Client agrees to:
- Provide a complete and usable PostgreSQL dump of their Odoo database.
- Hold the necessary rights over the transmitted data.
- Communicate all information required for the proper execution of the services.
- Test the migrated instance during the trial period.
7. Confidentiality and Data
The Provider undertakes to treat all Client data as strictly confidential. PostgreSQL dumps are used exclusively for the purpose of the engagement and are deleted upon completion, unless otherwise agreed. The Provider does not share any data with third parties.
8. Liability
The Provider commits the necessary resources for the proper execution of its services (best-efforts obligation). The Provider's liability is limited to the amount of the engagement concerned. The Provider shall not be held liable for indirect damages (loss of business, loss of data not backed up by the Client, etc.).
9. Intellectual Property
Bridge modules and tools developed specifically for the Client are assigned exclusively to the Client upon receipt of full payment. The Provider's internal tools (migration pipeline, transition matrix, analysis scripts) remain its exclusive property.
10. Governing Law
These Terms are governed by French law. In case of dispute, the parties agree to seek an amicable resolution. Failing that, the courts of Paris shall have exclusive jurisdiction.
